TERMS OF SERVICE
By purchasing from Paper & Palm, you agree to the following Terms of Service.
This defines the Terms of Service of the working relationship between the Client (herein the “Client”) and Paper & Palm (herein “Paper & Palm”).
Wedding Collection Design (herein “Wedding Collection Design”) means all pre-existing designs offered under the section of Wedding Collections in the Paper & Palm shop.
Custom Wedding Design (herein “Custom Wedding Design”) means any custom wedding creation not currently offered within the parameters of a Wedding Collection Design in the Paper & Palm shop.
Essential Suite (herein “Essential Suite”) means the basic included items offered for each particular Wedding Collection Design.
Custom Party Design (herein “Custom Party Design”) means any custom party creation not currently offered within the parameters of a Party Collection Design in the Paper & Palm shop.
For Wedding Collection Design orders, full payment for the ordered quantity of the Essential Suite is due from the client before work will begin. Any additional pieces requested and or additional fees incurred will be invoiced upon final approval and must be paid before print production can begin. For Custom Wedding Design orders and Custom Party Design orders, the Client agrees to pay a nonrefundable 50% deposit before work will begin. The deposit amount will be credited toward the final invoice.
Final invoices are to be paid in full upon the date of approval specified in the checkout form or upon a date otherwise agreed upon between Paper & Palm and the Client. Paper & Palm reserves the right to withhold completion and delivery of the work until all balances have been paid in full.
Upon ordering, the Client will be prompted to select their requested dates for final approval and shipping. These dates are on Fridays only and are provided in a drop down menu for easy selection. The time frame between approval and shipping is automatically set at a certain number of weeks based on the ordered item’s standard production time.
After ordering a Wedding Collection Design, the Client must submit the Wedding Customization Form. This form will specify the Client’s wording and choices for customizations and additional pieces. The Wedding Customization Form must be sent to Paper & Palm at least two weeks prior to the Client’s set approval date. Forms sent less than two weeks prior to the Client’s set approval date will result in production delays or rush fees.
Orders for Custom Wedding Designs must be placed via the "Getting To Know You Form" and orders for Custom Party Designs must be placed via the appropriate "Details Form". Following receipt of the "Getting to Know You Form" or "Details Form", Paper & Palm will email a price estimate and production timeline to the Client. After the Client has approved the estimate and production timeline, a 50% deposit is required to begin the work.
Rush orders are taken based on availability and must be requested and agreed upon between Paper & Palm and the Client prior to the order being placed.
The Client will be responsible for providing content to Paper & Palm in a timely manner. Any revision requests should be submitted to Paper & Palm via email within 1-3 business days of receipt of last proof. Any delays incurred by the Client may extend the approval and shipping dates. Paper & Palm agrees to provide revised proofs in a timely manner of 1-2 business days of receipt of a revision request sent from the Client. For Custom Wedding Designs and Custom Party Designs, if extensive revisions have been requested, up to 5 business days may be required before a revised proof can be sent to the Client. Final approval must be given in writing via email and final invoice must be paid on the set approval date in order for the set shipping date to remain valid.
For Wedding Collection Designs, a digital proof will be emailed to the Client after receipt of the Wedding Customization Form, signed contract and approval of the custom quote. Two reasonable revision rounds are included in the price. The Client shall be responsible for making additional payments at $40 per round for changes requested by the Client after the two included revision rounds have been exhausted. Paper & Palm may extend or modify any approval and shipping dates as may be required by such changes. If the Client requests changes which are outside of the scope of the included changes for a Wedding Collection Design, the work will be deemed a Custom Wedding Design and Paper & Palm will be entitled to request a new and separate "Getting to Know You Form" to be submitted by the Client. Work shall not begin on the revised services until a fully completed "Getting to Know You Form", and, if required, any additional fees are received by Paper & Palm.
If the Client wishes to switch the ordered Wedding Collection Design to another Wedding Collection Design, a collection change fee of $200 will be required before work can begin. This fee is non-refundable and will not be credited toward the final invoice. Paper & Palm may extend or modify any approval and shipping dates as may be required by such changes.
For Custom Wedding Design work, Paper & Palm will provide to the Client one original design concept for the entire invitation suite. For Custom Party Design work, Paper & Palm will provide to the Client one original design concept for the entire party suite. Two reasonable revision rounds are included in the price. The Client shall be responsible for for making additional payments at $40 per round for changes requested by the Client after the two included revision rounds have been exhausted. Complete design concept changes requested by the Client will result in additional charges and payment will be required before work can begin. These charges are non-refundable and will not be credited toward the final invoice. Paper & Palm may extend or modify any approval and shipping dates as may be required by such changes.
The Client is responsible for final proofreading and in the event that Client has sent final approval of a proof, but errors, such as, by way of example, not limitation, typographic errors, omissions or misspellings, remain in the finished product, Client shall incur the cost of correcting such errors. Paper & Palm is not responsible for errors caught after final approval and though a reprint can be done, the cost for the reprint, shipping and any rush charges is the responsibility of the Client. The minimum quantity for reprints of any Wedding Collection Design or Custom Wedding Design piece is 50. The minimum quantity for reprints of any Custom Party Design piece will vary based on the item and is up to the sole discretion of Paper & Palm.
Orders can be canceled any time prior to final approval. If for any reason an order for Wedding Collection Designs is cancelled prior to final approval, 50% of the total invoice (Essential Suite plus the cost of approved custom invoice) is forfeited by the Client. This 50% payment is for design services and is non-refundable. What is left of the remaining 50% of payment will be refunded to the client in the same manner in which it was paid. If for any reason an order for Custom Wedding Designs or Custom Party Designs is cancelled prior to final approval, the 50% deposit is forfeited by the Client and remains non-refundable.
Upon final approval and payment of final invoice, orders can no longer be cancelled. Due to the customized nature of the work, Paper & Palm can not accept returns or offer refunds. Paper & Palm makes every effort to assure the Client’s complete satisfaction.
NATURE OF PRODUCT
Paper & Palm makes every effort to display products accurately, though display can vary depending on monitor settings or web browsers. Color in the printed version of the design may vary slightly from what the Client sees in the digital proof colors due to monitor display. Color may also vary between press runs. It is recommended to order all coordinating pieces at the same time whenever possible, though the complete consistency of ink color cannot be guaranteed. Additionally the Client may see slight variations in letterpress printed or foil stamped items. These variations are inherent to the nature of and character of letterpress printers. Paper & Palm will not be held responsible for any such variations. Such variations will not be deemed an error and will not warrant a replacement or refund.
SHIPPING & SUPPLIERS
The Client is responsible for all shipping charges reflected during checkout as well as any additional shipping charges incurred by additional pieces and specified in a final invoice. Paper & Palm is not responsible for delays caused by suppliers or delays or damage caused during shipping. If damage during shipping has occurred, the Client is required to send photos of the damaged items to Paper & Palm within three days of delivery. Paper & Palm will work with the Client to create a claim with the shipping provider for the damaged product.
Paper & Palm retains the right to change prices without notice. Pricing changes can be affected by supplier, service and/or production costs. All quotes and estimates are valid for 30 days.
RIGHTS OF OWNERSHIP
Paper & Palm retains the rights of ownership of all design and artwork. The Client or any other entity outside of Paper & Palm may not use or reproduce the design or artwork for any purpose other than the purpose for which it was created without prior written consent from Paper & Palm. Paper & Palm retains the right to reproduce, photograph, publish and display the work for promotional, sales and marketing purposes, and to be credited with authorship of the work in connection with such uses. All outside displays or publications of the work shall bear accreditation and/or copyright notice in Paper & Palm’s name.
LIMITATION OF LIABILITY
THE SERVICES AND THE WORK PRODUCT OF PAPER & PALM ARE SOLD “AS IS.” IN ALL CIRCUMSTANCES, THE MAXIMUM LIABILITY OF PAPER & PALM, ITS DIRECTORS, OFFICERS, EMPLOYEES, DESIGN AGENTS AND AFFILIATES, TO CLIENT FOR DAMAGES FOR ANY AND ALL CAUSES WHATSOEVER, AND CLIENT’S MAXIMUM REMEDY, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT OR OTHERWISE, SHALL BE LIMITED TO THE NET PROFIT OF PAPER & PALM. IN NO EVENT SHALL PAPER & PALM BE LIABLE FOR ANY LOST CONTENT, EMOTIONAL DISTRESS, MENTAL ANGUISH, LOSS OF ENJOYMENT, REPLACEMENT COSTS, BUSINESS INTERRUPTION OR FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY OR PUNITIVE DAMAGES ARISING OUT OF OR RELATING TO THE MATERIALS OR THE SERVICES PROVIDED BY PAPER & PALM, EVEN IF PAPER & PALM HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND NOTWITHSTANDING THE FAILURE OF ESSENTIAL PURPOSE OF ANY LIMITED REMEDY.
Any modification of these Terms of Service must be written in a new executed agreement between the Client and Paper & Palm.
